Master & Securitization Services

We offer a variety of services, including:

• Set Up and Management of SPVs Limited liability companies established under Law 130/99. In the context of transactions established pursuant to Article 7.1 of Law 130, Cerved Master Services provides accounting and administrative services to Support Purpose Vehicles (Reoco – Leaseco).
• Corporate Services Provider (Administrative and Accounting Services) A trusted partner for accounting, administrative, and tax management, handling all corporate matters and fulfilling certain obligations owed by the company to third parties (Bank of Italy, Monte Titoli, Libreria Concessionaria).
• Master Servicer A Financial Intermediary supervised by the Bank of Italy, responsible for ensuring the compliance of the operation with the Prospectus and legal provisions. It is the entity to which the SPV delegates the management of securitized assets and cash/payment services. If credit management and recovery activities are sub-delegated to specialized entities (Sub-Servicers), CMS oversees and monitors these activities to optimise the interests of the subscribers.
• Calculation Agent Entity responsible for calculating the amounts due to subscribers and agents according to the Waterfall Payment Priority of Payments and for preparing reports for Investors, including those required by the Securitisation Regulation 2017/2402.
• Monitoring Agent It is responsible for verifying the activities performed by the Sub-Servicer, monitoring portfolio performance, and analyzing transactional proposals to be submitted to the Investor Committee.
